New MCL module 2022-2023: Shareholder Activism

The MCL programme will have a new module on offer in 2022-2023: ‘Shareholder Activism'.

The module will introduce students to the key legal and practical aspects of shareholder activism. Students will learn about the types and determinants of shareholder activism and the incentives of different types of institutional investors -- actively managed collective investment vehicles, pension funds, index funds, ‘activist’ hedge funds and private equity -- to deploy shareholder rights and engage with corporate boards. Other topics covered in the module will include the legal and regulatory risks for activist shareholders, the stewardship obligations of asset owners and asset managers and ESG-themed activist interventions.

The module will be taught by Dr Ana Taleska, the Slaughter and May Lecturer in Corporate Law and Corporate Finance at the University of Cambridge for 2021-22 and a practicing corporate attorney.
